Terms of Service
1. Acceptance and Scope
These Terms of Service ("Terms") govern your access to and use of LINKS, INC financial accounting hub platform and related services ("Service") provided by LINKS, INC ("Company," "we," "us," or "our"). By accessing or using our Service, you ("Customer," "you," or "your") agree to be bound by these Terms.
2. Account Registration and Eligibility
2.1 Business Use Only
Service is intended solely for business-to-business use. Individual consumers are not permitted to use the Service.
2.2 Account Requirements
- Accurate, complete registration information required
- One upstream General Ledger link per business entity
- Customer responsible for account security and all activities
- Immediate notification required for any security breaches
2.3 Prohibited Users
Service is not available to:
- Competitors or their agents
- Entities under 18 years of age
- Suspended or previously terminated customers
- Users in jurisdictions where Service is prohibited
3. Service Description and Limitations
3.1 Integration Services
Company provides software tools to integrate third-party applications with general ledger systems, customers must provide authenticated login as directed in the system.
3.2 Alpha/Beta Limitations
- Limited feature set compared to planned production version
- Potential for data mapping errors or integration failures
- No guarantee of backward compatibility with future versions
- Testing environment may be reset without notice
4. Data Handling and Security
4.1 Customer Data
- Customer retains ownership of all data submitted to the Service
- Company processes data solely to provide the Service
- Customer warrants it has rights to all submitted data
- Customer responsible for data backup and retention
4.2 Financial Data Sensitivity
Given the sensitive nature of financial and business data:
- Customer acknowledges alpha/beta software may have security vulnerabilities
- Customer assumes responsibility for any data exposure or breach
- Company recommends using test/dummy data during alpha/beta phases
- Customer should not process live financial data without appropriate safeguards
4.3 Data Processing
- Company may process Customer data to improve the Service
- Aggregated, anonymized data may be used for analytics
- Customer data will not be sold or shared with third parties except as specified in Privacy Policy
5. Intellectual Property
5.1 Company Rights
Company retains all rights, title, and interest in the Service, including all intellectual property rights.
5.2 Customer Rights
Customer retains all rights to Customer Data.
5.3 Design Partnership
If Customer participates as a Design Partner in feature development, testing, or enhancement activities, the resulting product features, functionalities, enhancements, or improvements developed through the Design Partnership become the exclusive property of Company and may be incorporated into the Service for all users. By participating as a Design Partner, Customer acknowledges and agrees that their collaboration, feedback, and testing contributions will result in Company-owned intellectual property
5.4 Feedback License
Any feedback, suggestions, or improvements provided by Customer become Company property and may be used without restriction or compensation.
6. Payment Terms
6.1 Alpha/Beta Pricing
- Alpha/beta access may be provided at no cost or reduced rates
- Pricing subject to change upon production release
- No refunds for alpha/beta services due to developmental nature
7. Prohibited Uses
Customer shall not:
- Use the Service for illegal activities or regulatory violations
- Attempt to reverse engineer, decompile, or hack the Service
- Use the Service to compete with Company or develop competing products
- Submit malicious code, viruses, or harmful content
- Overload or disrupt Service infrastructure
- Access other customers' data or systems
- Use the Service for cryptocurrency mining or blockchain processing
8. Warranties and Disclaimers
8.1 Alpha / Beta Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- The Service is in active development and may contain bugs, errors, or incomplete features
- Functionality may be modified, suspended, or discontinued without notice
- Data loss, corruption, or system downtime may occur
- Service availability and performance are not guaranteed
8.2 Alpha/Beta Warranties
- No warranty that the Service will be error-free or uninterrupted
- No warranty of data accuracy, completeness, or security
- No warranty of compatibility with Customer's systems
- No warranty that defects will be corrected
8.3 Customer Warranties
Customer warrants that:
- It has authority to enter into these Terms
- Use of the Service will comply with applicable laws
- Customer Data does not violate third-party rights
- Customer will not use the Service for prohibited purposes
9. Indemnification
Customer agrees to indemnify, defend, and hold harmless Company from claims arising from:
- Customer's use of the Service
- Customer Data or its processing
- Violation of these Terms
- Violation of applicable laws or regulations
- Third-party claims related to Customer's business operations
10. Limitation of Liability
10.1 Damages Limitation
IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.
10.2 Alpha/Beta Liability Cap
COMPANY'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE ALPHA/BETA SERVICE SHALL NOT EXCEED THE LESSER OF $1,000 OR THE AMOUNT PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.
10.3 Essential Terms
Customer acknowledges these limitations are essential terms and that Company would not provide the alpha/beta Service without them.
11. Termination
11.1 Termination Rights
Either party may terminate these Terms at any time with or without cause upon written notice.
11.2 Effect of Termination
Upon termination:
- Customer's access to the Service immediately ceases
- Customer must cease all use of the Service
- Company may delete Customer Data after reasonable notice
- Provisions that should survive termination will remain in effect
11.3 Alpha/Beta Termination
Company reserves the right to terminate alpha/beta access immediately without notice due to the developmental nature of the Service.
12. Privacy and Data Protection
Customer's privacy is governed by our Privacy Policy, incorporated herein by reference. By using the Service, Customer consents to data processing as described in the Privacy Policy.
13. Compliance and Regulatory
13.1 Customer Compliance
Customer is responsible for ensuring its use of the Service complies with applicable laws, including but not limited to:
- Data protection regulations (GDPR, CCPA, etc.)
- Financial regulations (SOX, PCI DSS, etc.)
- Industry-specific requirements
- Export control laws
13.2 Alpha/Beta Compliance Limitations
Customer acknowledges the alpha/beta Service may not meet all regulatory requirements and should not be used where compliance is mandatory.
14. General Provisions
14.1 Governing Law
These Terms are governed by the laws of Delaware without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes shall be resolved through binding arbitration in Wilmington, Delaware under the rules of the American Arbitration Association.
14.3 Modifications
Company may modify these Terms at any time. Continued use after modifications constitutes acceptance of the new Terms.
14.4 Severability
If any provision is found unenforceable, the remaining provisions remain in full force and effect.
14.5 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between the parties.
